5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful business purposes, including:

6. User Content and Data

6.1 Your Content

You retain ownership of all content you upload, create, or submit ("User Content"). By using the Service, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, store, process, and display User Content solely to provide the Service
• The right to use User Content for technical operations (embedding, processing, training your agents)
• Permission to backup and secure your data as part of service operations

We do NOT use your User Content to train third-party AI models or share it with others without your explicit consent.

6.2 Content Responsibility

You are solely responsible for User Content. You represent and warrant that:

• You own or have necessary rights to all User Content
• User Content does not violate any laws or third-party rights
• User Content does not contain viruses or malicious code
• You have obtained necessary consents for personal data included in User Content

6.3 Content Monitoring

We reserve the right (but have no obligation) to monitor, review, or remove User Content that violates these Terms or applicable laws. We may suspend or terminate accounts that repeatedly violate policies.

7. AI Services and Limitations

7.1 AI-Generated Content

Our Service uses third-party AI models (OpenAI, Anthropic) to generate responses. You acknowledge that:

• AI responses may be inaccurate, incomplete, or biased
• You are responsible for reviewing and verifying AI-generated content before use
• We do not guarantee the accuracy, reliability, or suitability of AI outputs
• AI models may occasionally produce unexpected or inappropriate content despite safeguards

7.3 Third-Party AI Terms

Your use of AI features is also subject to the terms of our AI providers. You agree to comply with:

8. Pricing and Payment

• Failed payments may result in service suspension

9. Intellectual Property

9.2 Limited License

12. Limitation of Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (WHICHEVER IS GREATER).

Some jurisdictions do not allow limitation of liability, so the above may not fully apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Agents47, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

• Your violation of these Terms or applicable laws
• Your User Content or its use by others
• Your use of AI-generated content in violation of third-party rights
• Disputes with other users or third parties
• Unauthorized access to your account due to your negligence

14. Termination

14.1 By You

You may terminate your account at any time through account settings or by contacting support. Termination takes effect immediately, but billing obligations continue through the end of the current period.

14.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our policies
• Your account is used for illegal activities
• Payment failures persist despite notification
• We discontinue the Service (with reasonable notice)
• Required by law or court order

14.3 Effect of Termination

Upon termination:

• Your access to the Service ceases immediately
• We may delete your User Content after a reasonable retention period
• Outstanding payment obligations remain due
• Provisions that naturally survive (indemnity, liability, disputes) remain in effect

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@agents47.online to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

15.2 Arbitration (US Users)

If informal resolution fails, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), except:

• Claims in small claims court within jurisdictional limits
• Intellectual property disputes
• Injunctive relief for Terms violations

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION PARTICIPATION.

15.3 Governing Law
